SOFTWARE LICENSE AGREEMENT
If you (either an individual or a single entity) install CellworXs® Version 2.x as free of charge trial version or as full purchased version, you must agree to the terms of this Software License Agreement.
SOFTWARE LICENSE AGREEMENT
between YOU (either an individual or a single entity) and
Softalis SPRL, Brussels/Belgium
for the CellworXs® add-in (further referred to as "CellworXs®" or "software").
By downloading or receiving (on disk, CD-ROM, via email attachment or any other storage media) the software CellworXs®, you agree to abide by the following provisions mentioned in this license agreement.
SOFTWARE VERSIONS
CellworXs® exists in different functioning versions depending on it's activation status:
- Initial Trial Version: free of charge; limited functionality to test CellworXs® without any software activation code; CellworXs® has in this version no expiry date
- Time Limited Version: free of charge; full software functionality; can be used only after request of a temporary activation key;
30 days expiry date upon software key receipt (not upon installation date!) it will go back to the "Trial Version Mode"
- Fully-Licensed Version: no time limit (you will receive automatic activation key updates 18 months) or functional limitations; subject to current pricing.
All above versions of CellworXs® are restricted to function under Microsoft Excel 97 to Excel 2007.
LICENSE
Softalis SPRL grants you a license to use and copy the software program(s) subject to the limitations described here. The license for the CellworXs® Time Limited Version and Fully-Licensed Version is granted by named user. Softalis SPRL or it's authorized distribution partners provide CellworXs® activation keys to activate the Time Limited or Fully-Licensed version based on the users network ID (user name).
In case of:
- activation key loss or
- a change in the user's network ID,
the key will be replaced for the Fully-Licensed Version free of charge based upon email request to support@softalis.eu. You need to confirm above case and resend initial order information (user ID and name, company and address).
- activation key exchange (transfer of named user license) for users not using the software anymore ("disabled users") to new users of the software: You need to guarantee that the disabled user will not access the software anymore. The administration of this named user transfer and new activation key generation is subject of current pricing. Please visit our web for the current applicable pricing.
DISTRIBUTION OF SOFTWARE
Any distribution of the software is allowed for evaluation purposes, on the condition that the software is not altered in any way and is distributed in its entirety. Any copy distributed will behave like the "initial trial version". We recommend that for peer recommendation purposes you point to the Softalis homepage, where the latest version can be downloaded and documentation material can be found and reference for support is given.
Incorporation of CellworXs® in commercial 3rd party products, renting, leasing, loaning or selling of CellworXs® for profit in any form, including but not limited to bulletin board distribution, magnetic or optical medium distribution is not permitted without the written consent of Softalis SPRL. Furthermore, modification, or alteration of the software including but not limited to de-compiling, disassembling, reverse engineering or creation of works arising from the software is prohibited.

BACKUP COPIES
You may make any reasonable number of backup copies of CellworXs® and its activation code(s).
MULTI-SYSTEM INSTALLATION
Multi-user access through network installation is possible in the Time Limited and Fully-Licensed version. The add-in can be accessed by many users, however each user needs to enter a valid activation key. The registration process saves user specific data (user network ID, activation code, and the users optional defaults) in the CellworXs® initialisation file (CellworXs[username].ini file) in the same folder where the file CellworXs.xlam or CellworXs.xla is located. Per user one initialisation file is created, which does hold data for the specific user only. For network installations please assure the user has write rights to the folder where the CellworXs® add-in is installed. This installation process allows also functioning of CellworXs® under centralized environments (e.g. CITRIX).
DISASSEMBLY
You may not reverse-assemble or reverse-compile any component of CellworXs®.
SPYWARE AND PRIVACY PROTECTION
Softalis SPRL guarantees that it's distributed version DOES NOT INCLUDE ANY SPYWARE.
It is gruaranteed that if we receive e-mail from you, that we WILL NOT SHARE ANY OF YOUR EMAIL ADDRESS OR FURTHER INFORMATION WITH ANY 3rd PARTY. Please visit also our privacy policy, which can be found on our corporate website.
COPYRIGHT
CellworXs® and ancillary material are copyrighted by Softalis SPRL. Do not delete the copyright notice, trademarks or protective notice from your copy or any copy you make.
WARRANTY
Softalis SPRL has developed and tested CellworXs® to their best knowledge, but does not warrant that the software will be free from errors or will meet your specific requirements. The software has been tested on the English versions of Excel, if you use a different version, we recommend testing the trial version on your local version of Excel. The software is made available to you "as is" and can be tested by you in free of charge versions on its functionality. However, if a problem is discovered and reported to Softalis SPRL, Softalis SPRL will take reasonable measures to correct the problem.
LIMITATIONS AND LIABILITY
Softalis SPRL makes no warranty or condition, either express or implied, including but not limited to any implied warranties of merchantability and fitness for a particular purpose, regarding the software. In no event Softalis SPRL or its suppliers and distributors will be liable for any indirect, incidental or consequential damages, loss of profits, loss of use or data, or interruption of business, whether the alleged damages are labeled in tort, contract or indemnity.

CellworXs® and Softalis are registered trademarks used by Softalis SPRL. Other product and company names mentioned on our web, in the documentation material, license agreement or in the software may be the trademarks of their respective owners.
